By issuing or submitting any form of audio, visual, audio-visual, text and any other material (the “Content”) (and regardless of the format or manner in which such Content is delivered or provided) to UNILAD GROUP LIMITED (“UNILAD”), you agree and acknowledge that UNILAD shall be entitled to edit, upload and monetise the Content including the running of advertisements on, over or adjacent to the Content) onto any UNILAD-owned platforms and/or platforms owned by companies associated with UNILAD (including but not limited to) any UNILAD websites, social media platforms and other platforms currently in existence and/or invented in the suture (“Pages”); the Content may remain on the Pages in perpetuity without the need for any further consent, permission or payment to you. The Content is provided by you on a gratis basis and UNILAD and/or its associates shall not be required to make any payment to you now or in the future.

You understand and acknowledge that UNILAD has no control over the advertising content displayed over or in relation with content intended for publication. Revenue generated from use of the Content on UNILAD-owned channels and channels owned by our associates shall not be payable to you or any other party associated with the Content under any circumstances whatsoever.

BY submitted the Content, you warrant and represent that;-

(A) you are the sole absolute unencumbered legal and beneficial owner or controller of all rights in and to the Content and have not assigned, sub-licenced or otherwise in anyway encumbered the Content or the rights being granted hereunder;

(b) you have the full right and power to provide us with the Content and associated rights described herein;

(c) all individuals featured in the Content have provided full consent to their inclusion in the Content and you have obtained all required permissions and releases from individuals, parties or locations, to enable you to grant us and our associates the rights granted herein (including without limitation the irrevocable and unconditional waiver by all relevant persons of all rights relating to the Content to which such persons are now or may in the future be entitled pursuant to the provisions of Sections 77, 80, 84, and 85 of the Copyright, Designs and Patents Act 1988 and any other moral rights to which such persons may be entitled under any legislation now existing or in future enacted in any part of the world);

(d) we and our associates will not be required to obtain any other rights or license or make any payments to any parties in order to exercise the rights provided by you herein and the payment of all residuals or other sums that may be payable to any and all third parties on account of any exercise of our rights hereunder (including without limitation any sums payable by way of equitable remuneration from the exercise of so-called rental and lending rights) or for any other reason whatsoever, shall have been paid or will be paid by you to the extent that UNILAD and our associates are not and will not be liable for any such payments;

(e) nothing in the Content, nor any exploitation of the Content will infringe or violate the rights or interests of any third party, including intellectual property rights, proprietary rights or rights of publicity or privacy, or bring us into disrepute;

(g) you have not granted, nor shall you grant, to anyone else any right which would conflict with or prevent or impair in any way your right to grant us and our associates the rights specified herein; and

(h) you shall supply such documents and instruments as may be necessary by way of evidence of ownership of the Content and the rights granted to UNILAD and our associates hereunder.
